Terms of Service

ProcessorIQ provides a service that allows users to convert various document formats (including but not limited to HEIC, PNG, JPG, GIF, DOCX) to PDF format, with automatic intelligent labeling based on document content. The Service also includes document analysis for potential mortgage processing issues.

The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue the Service at any time. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By accessing or using the Service, you represent and warrant that you meet these requirements.

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time, in our sole discretion, if we believe that you have violated these Terms or if we believe that your account has been compromised.

ProcessorIQ offers various subscription plans, including a free plan with limited conversions. By selecting a paid subscription plan, you agree to pay the subscription fees as described on our website. All fees are in U.S. dollars and are non-refundable except as required by law or as explicitly stated in these Terms.

For monthly subscription plans, your subscription will automatically renew each month until you cancel. For annual subscription plans, your subscription will automatically renew each year until you cancel. You may cancel your subscription at any time by accessing your account settings or contacting customer support.

We may change our subscription fees at any time. If we increase the fees for your subscription plan, we will provide notice of the change at least 30 days before the change takes effect. Your continued use of the Service after the fee change becomes effective constitutes your agreement to pay the updated fees.

If your payment method fails or your account is past due, we may suspend or terminate your access to the Service. You are responsible for all taxes associated with your subscription, other than taxes based on ProcessorIQ's income.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To process, transmit, or store material that infringes on the intellectual property rights of others
• To process, transmit, or store material that is defamatory, obscene, offensive, or otherwise objectionable
• To impersonate or attempt to impersonate ProcessorIQ, a Grizzly Innovations LLC employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To attempt to circumvent any security measures or access unauthorized areas of the Service
• To interfere with or disrupt the Service or servers or networks connected to the Service
• To introduce any viruses, trojan horses, worms, or other malicious code to the Service
• To collect or harvest any personal information from other users
• To automate access to the Service, except as explicitly authorized by ProcessorIQ

Any use of the Service in violation of these restrictions may result in the termination or suspension of your account and may subject you to legal liability.

6.1 ProcessorIQ Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by ProcessorIQ, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any rights to use ProcessorIQ's trademarks, logos, domain names, or other distinctive brand features. Any use of the Service not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

6.2 Your Content

By using the Service, you retain all rights to your documents and content. When you submit documents to ProcessorIQ for processing, you grant ProcessorIQ a limited, non-exclusive, worldwide, royalty-free license to use, copy, modify, and display the documents solely for the purpose of providing the Service to you. This license is temporary and expires upon completion of document processing and delivery to you.

You represent and warrant that you own or have the necessary rights to your documents and that the use of your documents by ProcessorIQ will not infringe the rights of any third party.

Our Privacy Policy describes how we collect, use, and share information about you when you use the Service. By using the Service, you agree to our collection, use, and sharing of information as described in the Privacy Policy.

In summary, we do not retain the content of documents processed through our Service beyond the time necessary for processing (typically less than 5 minutes). We do retain account information, payment information, and usage statistics necessary to provide and improve the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROCESSORIQ, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

WITHOUT LIMITING THE FOREGOING, PROCESSORIQ'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU HAVE PAID TO PROCESSORIQ FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PROCESSORIQ EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PROCESSORIQ MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE.

PROCESSORIQ DOES NOT WARRANT THAT THE SERVICE WILL CORRECTLY IDENTIFY OR FLAG ALL POTENTIAL ISSUES IN MORTGAGE DOCUMENTS. THE DOCUMENT ANALYSIS FEATURES ARE PROVIDED AS SUPPLEMENTARY TOOLS AND SHOULD NOT BE RELIED UPON AS THE SOLE MEANS OF DOCUMENT VERIFICATION OR COMPLIANCE.

You agree to defend, indemnify, and hold harmless Grizzly Innovations LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service, including your documents and content
• Your violation of the rights of any third party, including intellectual property rights
• Any claim that your documents or content caused damage to a third party

ProcessorIQ may terminate or suspend your access to all or part of the Service, without notice, for any conduct that ProcessorIQ, in its sole discretion, believes is in violation of these Terms or is harmful to the interests of ProcessorIQ, another user, or a third party.

You may terminate your account at any time by following the instructions on our website or by contacting customer support. If you terminate your account, you will continue to have access to the Service until the end of your current billing period, but you will not receive a refund for any fees already paid.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of [Your State], without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Oregon, in each case located in the City of Salem. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

YOU AND PROCESSORIQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and ProcessorIQ agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProcessorIQ regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.

14.2 Waiver and Severability

No waiver by ProcessorIQ of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ProcessorIQ to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without ProcessorIQ's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. ProcessorIQ may assign or transfer these Terms, at its sole discretion, without restriction.

14.4 Notices

We may provide any notice to you under these Terms by posting a notice on our website, sending an email to the email address associated with your account, or by any other method we deem appropriate. You agree that any notices sent by email satisfy any requirement that the notice be in writing.

We may revise these Terms from time to time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of these Terms. If we make material changes to these Terms, we will provide notice through the Service or by other means, such as email.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
